Analysis: How China's October 22, 2026 Outbound Investment Rules May Affect EB-5, L-1, and EB-1C Immigration Cases

TL;DR (English): On October 22, 2026, China's National Development and Reform Commission issued Order No. 49, the Outbound Investment Management Measures, effective December 1, 2026. While the new rules do not change U.S. statutory standards for EB-5, L-1, or EB-1C, they will significantly affect applicants whose funds originate in mainland China, who establish or control U.S. entities through Chinese companies, or who invest through offshore platforms such as Hong Kong. Key impacts: ① compliance procedures for transferring funds out of China; ② evidence of EB-5 source-of-funds and fund pathways; ③ documentation of equity, control, and qualifying relationships between Chinese and U.S. entities for L-1 and EB-1C; ④ timing for U.S. company formation, capital injection, acquisitions, and ongoing operations; ⑤ currency exchange, bank settlement, and ongoing corporate reporting. Bottom line: the new rules require procedures to be completed before an investment is made; you cannot rely solely on whether a bank permits a wire transfer to judge compliance. Chinese filings can serve as supporting evidence of fund legality and corporate relationships, but do not substitute for independent proof required by U.S. immigration law.

New Weiming Law Group is based in the Washington D.C. metropolitan area and has long represented Chinese nationals, international students, postdocs, and STEM professionals in the DMV region, Maryland, Virginia, and nationwide in EB-5 immigrant investor, NIW, EB-1A, L-1 intracompany transferee, EB-1C multinational manager or executive, and employment- and family-based immigration. As experienced, reliable immigration attorneys, we note that on October 22, 2026, China's National Development and Reform Commission issued Order No. 49, the Outbound Investment Management Measures (the "new rules"), effective December 1, 2026, replacing the 2017 Order No. 11. This article analyzes from a U.S. immigration practice perspective how the new rules may affect EB-5, L-1, and EB-1C cases involving Chinese-source funds or Chinese corporate entities.

What Are the Key Changes in the New Rules?

The new rules broaden the scope of covered entities to include domestic enterprises, other organizations, and individual residents; outbound investment covers not only direct investment but also indirect investment, reinvestment, financing, and guarantees through offshore entities. The rules emphasize "control" and "substance over form": control includes directly or indirectly holding over 50% of voting rights, or although under 50%, being able to direct operations, finance, personnel, or technology. Investments through Hong Kong, Macau, or Taiwan entities may also be covered. Three mechanisms are established: approval, filing, and reporting. Investments in sensitive countries or sectors require approval; non-sensitive direct investments generally require filing; non-sensitive reinvestments by already-controlled offshore entities generally require a reinvestment report submitted 10 working days before implementation; completion or termination reports within 10 days after completion or termination; annual reports by June 30 each year; and immediate reporting of material adverse events. Failure to complete procedures may affect banks and fund settlement: investments requiring approval or filing but lacking the necessary documents may not receive cooperation from foreign exchange, banking, or customs authorities, and financial institutions may refuse settlement, financing, or guarantee services.

What Potential Impact Do the New Rules Have on EB-5 Immigrant Investor Cases?

A mainland China resident transferring funds directly into a U.S. EB-5 project, regional center, or new commercial enterprise typically engages in outbound investment or at least cross-border activity requiring an applicability assessment. For non-sensitive direct investments, the applicant may need to file with the NDRC before the funds are actually invested; if investing through a Chinese company, a Hong Kong entity, or another already-controlled offshore entity, a reinvestment report may also be required. EB-5 investors should not judge compliance solely by whether a bank can complete the wire transfer. Before investing, confirm: ① whether NDRC filing or reporting is needed; ② whether the investor is an individual, a domestic enterprise, or an offshore controlled entity; ③ whether Hong Kong, Macau, Taiwan, or another intermediate platform is involved; ④ whether foreign exchange, tax, banking, and anti-money-laundering procedures must be completed; ⑤ whether funds will pass through multiple personal or related-company accounts.

Strengthens EB-5 source-of-funds and path-of-funds evidence: U.S. immigration law requires EB-5 investors to prove the investment funds are lawfully sourced, the fund pathway is clear, and the funds have been or are being invested in a compliant project. In the Chinese-fund context, the following materials may serve as important supporting evidence: NDRC filing or applicability determination, corporate board or shareholder resolutions or personal investment decisions, bank foreign-exchange purchase, remittance, and settlement records, tax certificates, dividend proofs, salary proofs, or asset-sale documents, loan, gift, or equity-transfer documents, equity chains and fund flows for Hong Kong or other offshore entities, and investment-completion, termination, or annual reports. But Chinese filings alone do not prove EB-5 funds meet U.S. immigration law standards; they are only supporting evidence of lawfulness, pathway, and transaction authenticity.

⚠️ 公司资金不能当然转化为个人EB-5资金 / Corporate Funds Do Not Automatically Become Personal EB-5 Capital

If an applicant uses Chinese company funds for a personal EB-5 investment, further explanation is required: ① why the company provided funds to the individual; ② whether the funds are dividends, salary, loans, equity-sale proceeds, or other lawful income; ③ whether internal corporate approval was obtained; ④ whether taxes were paid; ⑤ whether company and personal funds were commingled. A Chinese company's completion of an outbound-investment filing does not mean corporate funds automatically become lawful personal capital for an EB-5 investor. Enterprise funds, shareholder personal funds, and EB-5 investment funds must maintain a clear, traceable legal relationship.

Timing may be affected: EB-5 investments typically involve project subscription, fund remittance, escrow accounts, and immigration filing. The new rules require procedures to be completed before the investment is made, which may lengthen upfront preparation. Applicants planning to remit funds after December 1, 2026 should reserve time for NDRC filing, bank review, and foreign-exchange arrangements, to avoid situations where a project subscription is complete but funds cannot be transferred on schedule.

What Potential Impact Do the New Rules Have on L-1 and EB-1C Multinational Manager/Executive Cases?

L-1 and EB-1C typically require a qualifying relationship—parent, subsidiary, affiliate, or other qualifying relationship—between the Chinese entity and the U.S. entity. If a Chinese company: ① establishes a new U.S. subsidiary; ② acquires a U.S. company; ③ injects additional capital into the U.S. subsidiary; ④ invests in the U.S. company through a Hong Kong or other offshore entity; or ⑤ restructures the U.S. company's equity or control, NDRC filing, reinvestment reports, or other cross-border investment procedures may be required. Failure to obtain the necessary documents may prevent banks from completing fund settlements and may also delay or impede the U.S. company's actual formation, office lease, employee hiring, and business launch.

NDRC "control" standards can help prove qualifying relationships but do not substitute for U.S. standards: The new rules' provisions on control can inform preparation of L-1 and EB-1C evidence such as equity structure, voting arrangements, director-appointment powers, operational and financial control, personnel and technology decision-making, and the Chinese entity's actual control of the U.S. company. But the NDRC control standard is not identical to U.S. immigration law's parent, subsidiary, and affiliate standards. NDRC filings, investment certificates, or equity proofs do not automatically establish the qualifying corporate relationship for L-1 or EB-1C. U.S. immigration filings still require articles, equity proofs, board documents, financial records, organizational charts, payroll records, office leases, and evidence of actual operations.

Shell Companies and Nominee Arrangements Face Higher Risk

The new rules emphasize substance over form and bring indirect investments through controlled offshore companies into the regulatory scope. The following arrangements require special caution: ① using a Hong Kong company without explaining its actual business function; ② holding equity through family members or third-party nominees; ③ nominally holding shares through a Chinese parent that cannot actually control the U.S. company; ④ a U.S. company with no real employees, customers, revenue, or office; ⑤ funds cycling through multiple related accounts before being invested in the U.S. company. These issues may not only trigger Chinese outbound-investment compliance risks but also weaken the corporate relationship, managerial-position authenticity, and multinational-manager proof in L-1 and EB-1C cases.

Helps establish a complete chain of operational evidence: The new rules require completion reports, annual reports, and material-event reports. For L-1 and EB-1C, these materials can corroborate operational evidence in the U.S. immigration filing, such as: ① timing of the Chinese parent's investment in the U.S. subsidiary; ② U.S. company formation and capital injection dates; ③ business launch and project completion; ④ the ongoing control relationship between the Chinese and U.S. entities; ⑤ timing of the U.S. company's actual commercial activities; ⑥ changes in employees, customers, revenue, and assets. But filings or reports serve only as supporting evidence and do not substitute for the actual operational proof required by U.S. immigration law.

What Practical Recommendations Should Applicants Follow?

Before signing project subscription documents, determine whether remittance requires NDRC filing or reporting
    Build a complete source-of-funds and path-of-funds diagram
Avoid commingling corporate funds, family gifts, personal loans, and investment funds
Retain bank, tax, foreign-exchange purchase, remittance, and investment-closing documents
When investing via Hong Kong or other offshore platforms, verify actual control and reinvestment reporting duties
Do not treat Chinese filings as the sole proof that EB-5 funds meet U.S. source-of-funds requirements

对L-1和EB-1C申请人 / For L-1 and EB-1C Applicants

Before a Chinese entity injects capital or acquires a U.S. company, confirm applicable approval, filing, and reporting procedures
Prepare the complete equity and control chain from the Chinese parent to the U.S. entity
Ensure equity relationships in corporate documents match actual fund flows, director appointments, and operational management
Avoid relying on Hong Kong shells or nominee structures lacking actual business operations
Retain U.S. company office-lease, employee, payroll, customer, contract, revenue, and tax records
Coordinate the Chinese outbound-investment compliance timeline with the L-1 or EB-1C filing schedule

What Official Resources Can Be Consulted?

The October 22, 2026 Outbound Investment Management Measures are not new U.S. immigration regulations, but they raise compliance requirements for transferring Chinese funds abroad, investing through offshore companies, and structuring China–U.S. corporate arrangements. For EB-5, the most direct impacts are on fund-remittance procedures, source-of-funds and path-of-funds proof, and investment timing. For L-1 and EB-1C, the most direct impacts are on the Chinese parent's filing or reporting duties when investing in a U.S. company, equity-control evidence, corporate authenticity, and proof of ongoing U.S. operations. New Weiming Law Group recommends not treating Chinese investment compliance, U.S. immigration compliance, and foreign-exchange banking compliance as separate silos. For investments taking place after December 1, 2026, complete a unified cross-border investment and immigration-evidence plan before remitting funds, forming a company, restructuring equity, or filing a U.S. immigration petition. If you plan to pursue EB-5, L-1, EB-1C, or other U.S. immigration applications involving Chinese companies or funds, New Weiming Law Group's experienced immigration attorneys can assist with I-140/I-485, source-of-funds and path-of-funds documentation, corporate-relationship proofs, RFE responses, and H-1B, O-1, F-1 status maintenance and Dual Intent planning.
